TERMS AND CONDITIONS OF USE

These Terms and Conditions of Use (the “Terms”) govern your registration for and participation in Becoming Her™, a free masterclass experience provided by The Duchess Academy® (the “Company,” “we,” “our,” or “us”). Our principal business location is 4Main Street, Edgewater, NJ. You can contact us at hello@theduchessacademy.

“You,” “your,” and “participant” refer to users of our websites, communications, masterclasses, workshops, downloadable materials, communities, and related services and content (collectively, the “Offering”).

Binding Agreement. By registering for, accessing, or attending the Offering, you agree to be legally bound by these Terms and our Privacy Policy. If you do not agree, do not register or attend.

1) General Provisions

You must be 18 years or older (or the age of majority in your jurisdiction) to access the Offering.

We may update these Terms at any time. The “Last Updated” date will reflect the most recent version. Continued use indicates acceptance.

Use of our websites and platforms is at your own risk. We host on reputable providers but make no guarantees of uninterrupted or error‑free service.

2) Nature of the Offering (Free Registration)

Becoming H.E.R.™ is free to attend. From time to time we may offer optional paid upgrades (e.g., VIP access, bundles, programs). Any such purchase will be governed by the pricing and checkout terms presented at the point of sale.

As this is a free experience, no refunds apply. For paid upgrades, refunds (if any) are as stated on the specific checkout page.

3) Communications Consent

By registering, you consent to receive transactional and promotional communications (email and/or SMS) related to the Offering and to The Duchess Academy® programs and products. You may opt out at any time using the unsubscribe links or reply STOP for SMS, subject to carrier rules. Opting out may affect your ability to receive access links or reminders.

4) Intellectual Property & Limited License

All content in or related to the Offering—including slides, workbooks, designs, text, graphics, videos, audio, names, logos, taglines, and trade dress—is owned by or licensed to the Company.

You receive a limited, revocable, non‑transferable, non‑exclusive license for personal, non‑commercial use only to view the Offering and download any attendee materials expressly made available to you.

You may not:

Copy, share, distribute, republish, upload, post, sell, sublicense, or otherwise use our content beyond this personal license;

Remove copyright notices, trademarks, or branding;

Create derivative works based on the Offering;

Use our trademarks (including The Duchess Academy® and Becoming H.E.R.™) without prior written consent.

5) Your Contributions & Model Release

If you submit comments, testimonials, questions, images, audio/video, or otherwise participate in chat, group, or community spaces operated by us (“Participant Content”), you:

Represent that you own or have rights to share such content; and

Grant the Company a worldwide, perpetual, irrevocable, royalty‑free, transferable, and sublicensable license to use, reproduce, edit, adapt, publish, translate, create derivative works from, distribute, perform, and display that content for business and marketing purposes.

Recording Notice. The Offering may be recorded (audio, video, and chat). By attending, you grant us permission to record and use your name, voice, likeness, and contributions in any media now known or later developed, without compensation or obligation. If you prefer not to be recorded, please attend via replay (if available) and refrain from enabling your camera/microphone or posting identifiable content.

6) Community Standards

We maintain a zero‑tolerance policy for harassment, hate speech, abusive behavior, spam, or illegal activity. We may remove any participant or content at our sole discretion without notice.

7) Security; Accounts; Payments (if purchasing add‑ons)

You are responsible for safeguarding any login details and for all activity under your account.

Payments for optional upgrades are processed by third‑party processors (e.g., Stripe/PayPal). By purchasing, you agree to their terms and assume all risk related to payment information security.

8) Disclaimers

The Offering is educational and informational and not medical, legal, financial, psychological, or therapeutic advice. We do not diagnose, treat, or guarantee results. Always consult appropriate professionals.

Any testimonials or case studies illustrate experiences of specific individuals and do not represent typical or guaranteed results. Your outcomes depend on many factors outside our control.

We make reasonable efforts to provide accurate, timely content, but make no warranties that the Offering will be error‑free, uninterrupted, or that outcomes will meet your expectations. The Offering and all materials are provided “as is.”

9) Limitation of Liability

To the fullest extent permitted by law, the Company and its owners, officers, employees, contractors, and agents are not liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to your participation in the Offering, including but not limited to lost profits, data, or opportunities—even if advised of the possibility of such damages. If liability is found, it shall not exceed US $100 in the aggregate.

10) Indemnification

You agree to indemnify, defend, and hold harmless the Company and its affiliates, officers, employees, contractors, and agents against any claims, losses, liabilities, damages, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to your participation, your content, your breach of these Terms, or your violation of any law or third‑party right.

11) Termination & Access Revocation

We may suspend or terminate your access to the Offering, communities, or materials at any time, with or without notice, for conduct that we believe violates these Terms or harms other participants or the Company. You may discontinue participation at any time. Termination does not limit our rights to seek other remedies.

12) Promotions, Pricing & Order Policies (for optional paid items)

Prices for new purchases may change at any time.

We may limit or cancel orders at our discretion (e.g., suspected reselling or abuse).

We do not provide price adjustments after purchase.

No reselling of access or materials.

13) Dispute Resolution; Governing Law

Before filing any claim, the parties agree to attempt to resolve disputes in good‑faith negotiation. If unresolved within 30 days, the dispute shall be submitted to confidential mediation (and, if still unresolved, to binding arbitration) conducted in ORLANDO, FLORIDA, USA by a mutually agreed provider. Each party bears its own fees and an equal share of mediator/arbitrator fees. Governing law: the laws of ORLANDO, FLORIDA, USA, without regard to conflict‑of‑law principles. You consent to the exclusive jurisdiction and venue of the state/provincial courts located in ORLANDO, FLORIDA, USA to enter judgment on an arbitration award or for equitable relief.

Nothing in this section prevents a party from seeking temporary injunctive relief to protect intellectual property or confidential information.

14) Non‑Disparagement

You agree not to make public statements that are knowingly false or misleading about the Company, the Offering, or its personnel. This does not limit your rights to provide honest reviews or to communicate with authorities as allowed by law.

15) Privacy

Please review our Privacy Policy (linked at checkout or on our website) for how we collect, use, and protect your personal data, including with respect to emails/SMS, replays, analytics, and advertising.

16) Severability; Entire Agreement; Assignment

If any provision of these Terms is held unlawful or unenforceable, the remaining provisions remain in full force. These Terms, together with our Privacy Policy and any specific checkout terms for optional upgrades, constitute the entire agreement between you and the Company regarding the Offering and supersede all prior communications. We may assign our rights and obligations; you may not assign without our prior written consent.
